On July 10, 2018, the Board of Directors (the “Board”) of New Jersey Resources Corporation (the “Company”), upon the recommendation of the Nominating/Corporate Governance Committee of the Board, approved amendments to the Company’s Bylaws.
The amendments to Article I, Section 2 and Article IX, Section 4 of the Bylaws address who shall preside at meetings of the Board in the absence of the Chairman or Vice Chairman of the Board and provides the Board with an option to delegate authority to a committee of the Board or the Chief Executive Officer or General Counsel to determine whether a covered person is entitled to indemnification or advancement of expenses under the Company’s Bylaws.

New Jersey Resources Corporation is an energy services holding company. The Company’s business is the distribution of natural gas through a regulated utility, which provides other retail and wholesale energy services to customers and investing in clean energy projects and midstream assets. It operates in four business segments: Natural Gas Distribution, Clean Energy Ventures, Energy Services and Midstream. The Natural Gas Distribution segment consists of regulated natural gas services, off-system sales, capacity and storage management operations. The Energy Services segment consists of unregulated wholesale energy operations. The Clean Energy Ventures segment consists of capital investments in clean energy projects.
