On January 24, 2017, Nephros, Inc. (the Company) issued a press
release in which it disclosed its approximate revenue for the
fiscal year ended December 31, 2016. A copy of this press release
is furnished herewith as Exhibit 99.1. to the rules and
regulations of the Securities and Exchange Commission, such
exhibit and the information set forth therein and in this Item
2.02 have been furnished and shall not be deemed filed for

Nephros, Inc. (Nephros) is a commercial-stage medical device and commercial products company that develops and sells high performance liquid purification filters and hemodiafiltration (HDF) systems.
