On January 19, 2018, NCI Building Systems, Inc., a Delaware corporation (the “Company”), issued a press release dated January 19, 2018, furnished as Exhibit 99.1 to this Current Report on Form 8-K, to announce the delivery of a conditional notice of redemption of the Company’s $250 million aggregate principal amount of outstanding 8.25% senior notes due 2023 (the “Notes”) issued by the Company, in connection with a possible refinancing transaction, which is expected to include a new first lien term loan facility and a new ABL facility, which together will refinance the Notes, and the Company’s existing term loan facility and the Company’s existing ABL facility. There can be no assurances that any such refinancing will be completed.
