Item 7.01 REGULATION FD DISCLOSURE

In accordance with General Instruction B.2. to Form 8-K, the following information shall not be deemed “filed” for purposes of Section18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such a filing.

On July 30, 2018, Navistar Financial Corporation (“NFC”), an indirect wholly owned finance subsidiary of Navistar International Corporation (the “Company”), entered into a Joinder Agreement tothe Third Amended and Restated Credit Agreement, dated as of May 27, 2016 (as amended, the “Credit Agreement”), by and among NFC and Navistar Financial, S.A. de C.V., Sociedad Financiera de Objeto Multiple, Entidad Regulada, a Mexican corporation, as borrowers, the lenders party thereto, JPMorgan Chase Bank, N.A., as administrative agent, and Bank of America, N.A., as syndication agent, to which NFC borrowed an aggregate principal amount of $400,000,000 under a new seven-year senior secured term loan facility (the “Term Loan B”). In connection with the Credit Agreement and the Term Loan B, NFC is providing the lenders thereunder with the Audited Consolidated Financial Statements and Management’s Discussion and Analysis as of October 31, 2018 (the “NFC Financial Statements”), which are attached as Exhibit 99.1 to this Current Report and are incorporated by reference herein.

NFC is not subject to the informational requirements of the Exchange Act and the preparation and filing of this Current Report by the Company shall in no way be interpreted as an undertaking on the part of either the NFC or the Company to have NFC otherwise comply with the reporting requirements and the related rules and regulations of the Exchange Act. The NFC Financial Statements were prepared in accordance with U.S. generally accepted accounting principles and not otherwise in a manner designed to comply with all of the rules and regulations of the Exchange Act that would be applicable to NFC if it was required to file reports under the Exchange Act.
