Submission of Matters to a Vote of Security Holders
On June 21, 2017, Natus Medical Incorporated (the Company) held
its annual meeting of stockholders. At this meeting, Kenneth E.
Ludlum and Barbara R. Paul were re-elected to serve on the Board
of Directors for a three-year term until 2020. Additionally,
shareholders ratified the appointment of KPMG as the Companys
independent registered public accounting firm for the fiscal year
ending December 31, 2017 and provided advisory approval of the
Companys named executive officer compensation and recommendation
of the frequency of voting.
