Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective September 20, 2019, General (Ret.) Lori J. Robinson was appointed to the Board of Directors of NACCO Industries, Inc. (the “Company”). General Robinson served in the United States Air Force from 1982 until 2018. At the time of her retirement from the Air Force, she served as Commander, North American Aerospace Defense Command (NORAD) and United States Northern Command (USNORTHCOM), where she became the United States’ first female combatant commander. General Robinson currently serves as a non-resident Senior Fellow at Harvard Kennedy School’s Belfer Center.
General Robinson will participate in the Company’s standard compensation program for non-employee directors as described in the Company’s Proxy Statement for the 2019 Annual Meeting of Shareholders, which was filed with the Securities and Exchange Commission on March 22, 2019.
There are no arrangements or understandings between General Robinson and any other persons to which she was elected as a director. There are no transactions between General Robinson and the Company that would require disclosure under Item 404(a) of Regulation S-K.
