On June1, 2017, Moodys Corporation (the Company) entered into a
purchase agreement by and among the Company and J.P.Morgan
Securities LLC, Citigroup Global Markets Inc. and Merrill Lynch,
Pierce, Fenner Smith Incorporated, as representatives of the
several initial purchasers named therein (the Purchase
Agreement), with respect to the issuance and sale of $500million
aggregate principal amount of the Companys 2.625% Senior Notes
due 2023 and $500million aggregate principal amount of the
Companys 3.250% Senior Notes due 2028 (collectively, the notes).
The notes have not been registered under the Securities Act of
1933, as amended (the Securities Act), or any state securities
laws. The notes are being offered only to qualified institutional
buyers under Rule 144A of the Securities Act or, outside the
United States, to persons other than U.S. persons in compliance
with RegulationS under the Securities Act. A confidential
offering memorandum for the offering of the notes, dated June1,
2017, will be made available to such eligible persons.
On June1, 2017, the Company issued a press release announcing the
launch of the notes offering.A copy of the press release is
attached as Exhibit 99.1 hereto and incorporated herein by
reference.
Additionally, on June1, 2017, the Company issued a press release
announcing that it priced the offering of the notes. A copy of
the press release is attached as Exhibit99.2 hereto and
incorporated herein by reference.
