Submission of Matters to a Vote of Security
Holders.

On May 16, 2017, Mid Penn Bancorp,Inc. (theCorporation) held its
Annual Meeting of Shareholders for which the Board of Directors
solicited proxies. At the Annual Meeting, the shareholders of the
Corporation voted on the following proposals described in the
Proxy Statement dated April 6, 2017.

The proposals voted on and approved or disapproved by the
shareholders of the Corporation at the Annual Meeting were as
follows:

Proposal No.1. The Corporations shareholders elected four
individuals to serve as Class A members of the Board of Directors
to serve for a three-year term and until their successors are
elected and qualified, as set forth below:
