On September 20, 2017, Meritor, Inc. announced the pricing on September 19, 2017 of its proposed offering of 3.25% convertible senior notes due 2037 to qualified institutional buyers in a private placement exempt from the registration requirements of the Securities Act of 1933, as amended.

A copy of the press release is attached hereto as Exhibit 99-a and is incorporated herein by reference.

The notes and the common stock issuable upon conversion of the notes, if any, have not been registered under the Securities Act of 1933, as amended, or applicable state securities laws, and unless so registered, may not be offered or sold in the United States except to an exemption from the registration requirements of the Securities Act and applicable state securities laws.
