On June 11, 2019, Medidata Solutions, Inc. (the “Company”) issued a press release announcing its entry into an Agreement and Plan of Merger with Dassault Systèmes SE, Dassault Systèmes Americas Corp. and 3DS Acquisition 6 Corp. A copy of that press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.
