Item 5.02.Departure of Directors or Certain Officers; Election of
Directors; Appointment of Certain Officers; Compensatory
Arrangements with Certain Officers.
The Board of Directors (the Board) of MedEquities Realty Trust,
Inc. (the Company) previously approved, subject to stockholder
approval, the Companys Amended and Restated 2014 Equity Incentive
Plan (the Amended Plan). At the Companys Annual Meeting of
Stockholders held on May 3, 2017 (the Annual Meeting), the
Companys stockholders approved the Amended Plan, which increases
the number of shares of the Companys common stock reserved for
issuance under the Amended Plan by 2,000,000 shares, from
1,356,723 shares to 3,356,723 shares, and extends the term of the
Amended Plan to May 2, 2027.

the text of the Amended Plan, a copy of which is filed as Exhibit
10.1 hereto and is incorporated herein by reference.
Item 5.07.Submission of Matters to a Vote of Security Holders.
At the Annual Meeting, the stockholders of the Company approved
all of the proposals presented, which are described in detail in
the Companys Definitive Proxy Statement on Schedule 14A that was
filed with the Securities and Exchange Commission on March 17,
2017 (the Proxy Statement). Holders of 27,050,735 shares of the
Companys common stock were present in person or represented by
proxy at the Annual Meeting.
The following are the voting results of the proposals submitted
to the Companys stockholders at the Annual Meeting:
