On November 20, 2017, Magellan Gold Corporation, a Nevada corporation (the “Company), entered into a Letter Agreement with Prospero Silver Corp., a Canadian corporation (“Prospero) allowing the Company to examine and review Prospero’s confidential and proprietary information regarding geology, drill hole information and core from the drill holes (the “Data Package”) related to the El Dorado prospect. On September 25, 2018 the Company issued 1,013,035 shares of its restricted Common Stock to Prospero to the payment schedule set forth in the Letter Agreement. A copy of the Agreement is filed herewith as Exhibit 10.1.
