M.D.C. Holdings, Inc (NYSE:MDC) Files An 8-K Submission of Matters to a Vote of Security Holders

Item 5.07(d) of Form 8-K and in light of the voting results with
respect to the non-binding advisory vote on the frequency of
future non-binding advisory votes on the compensation of the
Companys named executive officers (say-on-pay), the Companys
decision as to how frequently the Company will conduct future
shareholder advisory say-on-pay votes.

SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS

On June 26, 2017, the Companys Board of Directors
determined that the Company will continue to hold advisory
say-on-pay votes on an annual basis until the earlier of
the next vote on the frequency of such say-on-pay votes or
the Boards determination, in its discretion, that it is
appropriate to hold such votes on a less frequent basis.
