Unregistered Sales of Equity Securities

On May 5, 2017, Luckycom Pharmaceuticals Inc. (the “Company”) issued 750,000 shares of common stock to Mr. Kingrich Lee in settlement of the debt owed to Mr. Lee in the amount of $327,504 as of March 31, 2017 and in exchange of Mr. Lee’s investment of $250,000 to the Company and $172,496 to the Company’s wholly owned subsidiary, Luckycom Limited. The issuance of the shares was exempt from registration under the Securities Act of 1933 to Section 4(a)(2) thereof on the basis that the transaction did not involve a public offering. The shares are subject to restrictions on resale to Commission Rule 144 under the Securities Act.
