Item 8.01 Other Events.

On January 12, 2018, Live Nation Entertainment, Inc. ("Live Nation") and Complete Entertainment Resources Group, Inc. ("CERG") issued a joint press release announcing, among other things, that Live Nation and a subsidiary of CERG formerly doing business as Songkick have entered into a settlement agreement to resolve Songkick's claims alleging misappropriation of trade secrets, tort and antitrust violations, as well as Live Nation's counter-claims. to the settlement agreement, Live Nation will make a $110 million lump sum payment, exclusive of amounts paid to separately acquire certain assets from CERG and related entities. This settlement will be expensed by Live Nation in its fourth quarter 2017 financial statements. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
