Item 8.01. Other Events

On October24, 2018, Lithia Motors, Inc. announced a $0.29 per share cash dividend, to be paid on November23, 2018 to shareholders of record as of November9, 2018.

The Company also announced that the Board authorized the repurchase of up to $250 million of the Company's common stock under its share repurchase program in addition to the previously authorized amount.
