Item 5.02 Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January11, 2018, Frederic Harman notified the Board of Directors (the “Board”) of Leaf Group Ltd. (the “Company”) of his resignation from the Board, including all committees of the Board on which he served, effective as of January11, 2018. Mr.Harman served as the chairman of the Board’s Compensation Committee and as a member of the Board’s Nominating and Corporate Governance Committee.Mr.Harman’s resignation from the Company’s Board did not arise as a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices or as a result of any disagreement with the Company’s independent registered public accounting firm.
