Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 8, 2018, John “Jack” B. Lowe, Jr., a director of LCI Industries (the “Company”) since 2005, notified the Company of his decision to retire from the Board of Directors of the Company following the completion of his current term.Consequently, Mr. Lowe will not stand for re-election as a director at the 2018 Annual Meeting of Stockholders, which is presently anticipated to be held on May 24, 2018.Mr. Lowe’s decision was not the result of any disagreement with the Company on any matter related to the Company’s operations, policies, or practices.
