(b) Resignation of Officer

Effective August14, 2017, Margaret L. Mueller resigned as Chief Accounting Officer of La-Z-Boy Incorporated (the “Company”). Ms.Mueller, the Company’s Vice President of Finance and Assistant Treasurer, remains with the Company through August31, 2017. Ms.Mueller’s resignation is not a result of any disagreement with the Company’s independent auditors or any member of management on any matter of accounting principles or practices, financial statement disclosure or internal controls.

(c) Appointment of Officer

Effective August14, 2017, La-Z-Boy Incorporated appointed current Vice President and Corporate Controller, Lindsay A. Barnes, to serve also as the Company’s Chief Accounting Officer.

Ms.Barnes, 39, joined the Company in 2011 as Director of Financial Reporting and was promoted in January2015 to Vice President and Corporate Controller. Prior to joining the Company, Ms.Barnes, a Certified Public Accountant, held various financial positions at Borders Group,Inc.
