Holders.

L.B. Foster Company (the Company) held its annual meeting of
shareholders (the Annual Meeting) on May24, 2017. The
shareholders considered four proposals, each of which is
described in the Companys definitive proxy statement dated
April12, 2017 and filed with the Securities and Exchange
Commission. Results of votes with respect to the proposals
submitted at the Annual Meeting are set forth below.
