Item 5.07 Submission of Matters to a Vote of Security Holders.

The Annual Meeting of the Company was held on April 19, 2017. Of
the 27,089,970 shares of Company common stock outstanding and
entitled to vote at the Annual Meeting, 25,189,049 shares, or
approximately 92.98%, were represented in person or by proxy,
constituting a quorum. Set forth below are the final results of
the voting for each of the proposals voted upon at the Annual
Meeting.
1. Proposal No. 1 – Election of Directors
The Board of Directors (the Board) has ten Directors, divided
into three classes. At the Annual Meeting, three individuals were
elected as Class III Directors, by the votes set forth below,
each to serve for a term of three years and until his or her
successor has been elected and qualified.

Proposal No. 3 – Advisory Vote on the Frequency of Future
Advisory Votes on Executive Compensation
The results of the non-binding advisory vote on the frequency of
future advisory votes to approve compensation of the named
executive officers were as follows:

A majority of the votes cast were voted in favor of conducting
the advisory vote on executive compensation on an annual basis.
In light of this vote, and consistent with the Companys
recommendation as described in its 2017 proxy statement, the
Companys Board of Directors has determined for the time being to
continue the practice of holding an annual advisory vote on
compensation for the named executive officers.

Proposal No. 4 – Amendment to Amended and Restated
Certificate of Incorporation Declassifying the Board of
Directors
The proposal to amend our Amended and Restated Certificate of
Incorporation to declassify the Board of Directors, the approval
of which would have required a supermajority vote of 66 2/3% of
the outstanding shares of our Common Stock, was not approved by
