News Release
On March 19, 2019, Jones Lang LaSalle, Inc., a Maryland corporation (“JLL”), and HFF, Inc., a Delaware corporation (“HFF”), issued a joint news release announcing the execution of an Agreement and Plan of Merger, among JLL, JLL CM, Inc., a wholly-owned subsidiary of JLL, JLL CMG, LLC, a wholly-owned subsidiary of JLL, and HFF, to which, subject to the satisfaction or waiver of certain conditions, JLL has agreed to acquire HFF. A copy of the news release is filed as Exhibit 99.1 hereto, and the full text of such news release is incorporated by reference into this Item 7.01.
Investor Presentation
Additionally, JLL held a conference call and live webcast for shareholders, analysts and investment professionals on March 19, 2019 to provide supplemental information regarding the proposed merger transaction involving JLL and HFF. A copy of the presentation for the conference call is attached as Exhibit 99.2 to this Form 8-K and is incorporated by reference into this Item 7.01.
