On May22, 2017, JELD-WEN Holding, Inc. (the Company) announced
the launch of a public offering of 14,000,000 shares of its
common stock (the Offering) held by Onex Partners Manager LP and
its affiliates and certain other existing stockholders of the
Company (collectively, the Selling Stockholders). Certain of the
Selling Stockholders will also grant to the underwriters of the
Offering a 30-day option to purchase up to an additional
2,100,000 shares of common stock.

The Company is not offering any shares of common stock in the
Offering and will not receive any proceeds from the sale of
shares in the Offering.
