(d) On May 5, 2017, the Board of Directors voted to expand the size of the Board to nine members and appointed David Foss, President and Chief Executive Officer of Jack Henry & Associates, to fill the new seat. On May 9, 2017, the company issued a press release announcing the appointment of Mr. Foss. A copy of the press release is filed as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
