On June16, 2017, j2 Global, Inc. (the Company) and its subsidiary
j2 Cloud Services, LLC (j2 Cloud) issued a press release
announcing that j2 Cloud and j2 Cloud Co-Obligor, Inc. are
proposing to issue $550million aggregate principal amount of
senior unsecured notes due 2025 (the Notes) to be offered and
sold only to persons reasonably believed to be qualified
institutional buyers in an unregistered offering to Rule 144A
under the Securities Act of 1933, as amended (the Act), and to
certain non-U.S. persons in transactions outside the United
States in reliance on Regulation S under the Act. A copy of the
press release is furnished as Exhibit 99.1 to this Form
8-K.
