On November9, 2017,ITC Holdings Corp. (the “Company”) issued (1)a news release announcing that it commenced a private offering of senior unsecured notes due 2022 (the “2022Notes”) and senior unsecured notes due 2027 (the “2027Notes” and, together with the 2022 Notes, the “Notes”) and (2)a news release announcing that the Company has priced the offering of the Notes.

The Company intends to use the net proceeds from this offering to redeem in full $385.0million aggregate principal amount of the Company’s 6.050% Senior Notes due January31, 2018, and to pay the associated call premiums, to repay indebtedness outstanding under the Company’s term loan credit agreement, revolving credit agreement and commercial paper program, and for general corporate purposes.
