Arrangements of Certain Officers.
On June 2, 2017, Kevin M. Wilson resigned from his position as
Corporate Controller and Principal Accounting Officer of
International Shipholding Corporation (the Company).
Item 7.01.
Regulation FD Disclosure.
As previously reported by the Company, on July 31, 2016, the
Company and certain of its direct and indirect subsidiaries filed
voluntary petitions for relief under Chapter 11 of Title 11 of
the U.S. Code in the United States Bankruptcy Court for the
Southern District of New York (the Bankruptcy Court). On June 1,
2017, the Company issued a press release announcing that it had
received certain necessary approvals from the U.S. Department of
Transportation Maritime Administration, thereby satisfying
certain conditions precedent to the effectiveness of the First
Amended Modified Joint Chapter 11 Plan of Reorganization for
International Shipholding Corporation and its Affiliated Debtors
(the Plan of Reorganization). The Plan of Reorganization was
previously confirmed by the Bankruptcy Court on March 2, 2017. A
copy of the press release is furnished as Exhibit 99.1 to this
Current Report on Form 8-K and incorporated into this Item 7.01
by reference.
