Regulation FD Disclosure

On July 19, 2018, Independence Contract Drilling, Inc. (the “Company”) entered into an Agreement and Plan of Merger, dated as of July 18, 2018 (the “Merger Agreement”), by and among the Company, Patriot Saratoga Merger Sub, LLC, and Sidewinder Drilling LLC (“Sidewinder”). to the Merger Agreement, the Company will acquire Sidewinder in a transaction in which Merger Sub will merge with and into Sidewinder, with Sidewinder surviving as a wholly-owned subsidiary of the Company (the “Merger”).

On July 19, 2018, Byron A. Dunn, President and Chief Executive Officer of the Company sent an e-mail to Company employees announcing the Company’s entry into the Merger Agreement. A copy of the e-mail sent to Company employees is attached as Exhibit 99.2 to, and is incorporated by reference into, this Current Report on Form 8-K.

On July 19, 2018, Anthony Gallegos, President and Chief Executive Officer of Sidewinder sent a letter to Sidewinder employees announcing Sidewinder’s entry into the Merger Agreement. A copy of the letter sent to Sidewinder employees is attached as Exhibit 99.3 to, and is incorporated by reference into, this Current Report on Form 8-K.

On July 19, 2018, the Company hosted a conference call to discuss its entry into the Merger Agreement. A copy of the conference call transcript is attached as Exhibit 99.1 to, and is incorporated by reference into, this Current Report on Form 8-K.
