On February 5, 2019, the Board of Directors (the “Board”) of Illumina, Inc. (the “Company”) increased the size of the Board from nine to ten members and elected Susan E. Siegel, to serve on the Board beginning February 5, 2019. Ms. Siegel has been assigned to serve in the class of directors standing for election at the Company’s 2019 annual meeting of stockholders, and, consistent with the Company’s Corporate Governance Guidelines, Ms. Siegel will stand for election by the Company’s stockholders at the Company’s 2019 annual meeting of stockholders to serve for a three-year term commencing with such meeting. There is no arrangement or understanding between Ms. Siegel and any other person to which she was selected as a director. In addition, Ms. Siegel is not a party to any transaction with the Company reportable under Item 404(a) of Regulation S-K under the Securities Act of 1933. Ms. Siegel will participate in the non-employee director compensation programs described under “Director Compensation” in the Company’s proxy statement filed on April6, 2018.
