In connection with the offering of the Notes (as defined below), IHS Markit Ltd., a Bermuda exempted company (the “Company”), is disclosing under this Current Report on Form 8-K that the Company funded its previously announced purchase of 78% of automotiveMastermind Inc. through drawings under its revolving credit facility.
This information, which has not been previously reported, is excerpted from the Confidential Offering Memorandum, dated November 28, 2017, that is being circulated to investors in connection with the offering of the Notes described in Item 8.01 below. This Current Report on Form 8-K does not constitute an offer to sell or the solicitation of an offer to buy or otherwise acquire securities.
On November 28, 2017, the Company announced that it intends to offer, subject to market and other conditions, $400 million in aggregate principal amount of senior notes (the “Notes”) in a private placement transaction to Rule 144A and Regulation S under the Securities Act of 1933, as amended (the “Securities Act”). The Company intends to use the net proceeds from the offering of the Notes to repay amounts outstanding under its revolving credit facility.
The Notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements thereunder. to Rule 135c of the Securities Act, the Company is filing herewith the press release dated November 28, 2017.
