On February 6, 2017, IHS Markit Ltd., a Bermuda exempted company
(the Company), announced the pricing of its offering of
$500million in aggregate principal amount of senior notes due
2025 (the Notes) in a private placement
transaction to Rule 144A and Regulation S under the Securities
Act of 1933, as amended (the Securities Act).
The offering is expected to close on February 9, 2017, subject to
customary closing conditions.
The Notes will bear interest at a rate of 4.75% per annum and
will pay interest semi-annually in cash in arrears on February15
and August15 of each year, beginning on August15, 2017. The Notes
will mature on February15, 2025. The Company intends to use the
net proceeds from the offering of the Notes for working capital
and other general corporate purposes, which initially will
include repayment of indebtedness under its revolving credit
facility and may in the future include share repurchases to its
previously announced share repurchase authorization.
The Notes have not been registered under the Securities Act and
may not be offered or sold in the United States absent
registration or an applicable exemption from the registration
requirements thereunder. to Rule 135c of the Securities Act, the
Company is filing herewith the press release dated February 6,
2017.
