On June1, 2018, Mr.Stephen Haggerty’s employment relationship with Hyatt Hotels Corporation (the “Company”) terminated.

On May31, 2018 (the “Effective Date”), the Company entered into an Advisory Agreement with Mr.Haggerty through his limited liability company, Bare Hill Advisory LLC (the “Advisory Agreement”). Under the Advisory Agreement, the Company will pay Mr.Haggerty a monthly retainer of $75,000 for each of June and July, 2018 and $15,000 for each calendar month of continued services thereafter. If the Company terminates the agreement prior to August1, 2018 (other than due to Mr.Haggerty’s breach), Mr.Haggerty will be entitled to payment of 80% of his fees for the period through July31, 2018. In addition, Mr.Haggerty will be eligible to receive discretionary cash success bonuses linked to the successful completion of certain projects.
