On May3, 2017, HubSpot, Inc. (the Company) issued a press release
announcing the Companys proposed private offering of $300.0
million principal amount of convertible senior notes due 2022 to
Rule 144A under the Securities Act of 1933, as amended. A copy of
the press release is filed as Exhibit 99.1 hereto and is
incorporated herein by reference.
On May5, 2017, the Company issued a press release announcing that
it had priced an offering of $350.0 million principal amount of
convertible senior notes due 2022. The size of the transaction
was increased from the previously announced principal amount of
$300.0 million. A copy of the press release is filed as Exhibit
99.2 hereto and is incorporated herein by reference.
