Horizon Global Corporation (the “Corporation”) held its 2017
Annual Meeting of Stockholders (“Annual Meeting”) on May 9, 2017.
There were a total of 25,578,268 shares of Common Stock outstanding
and entitled to vote at the Annual Meeting and there were
24,144,642 shares of Common Stock represented in person or by proxy
at the Annual Meeting, which constituted a quorum to conduct
business at the Annual Meeting.
The items voted upon at the Annual Meeting and the results of the
vote on each proposal were as follows:

Based on the votes set forth above, at the Annual Meeting: each of
the director nominees were elected as directors and the appointment
of Deloitte Touche LLP as the Corporations independent registered
public accounting firm for the fiscal year ending December 31, 2017
was ratified by the stockholders of the Corporation.
