As referenced in the original filing, the Corporation's shareholders voted, consistent with the recommendation of the Corporation’s Board of Directors, in an advisory, non-binding vote, in favor of conducting annual shareholder votes on named executive officer compensation. After considering the vote of shareholders, the Board of Directors has determined the Corporation will hold annual, non-binding, advisory votes on named executive officer compensation until the next required vote on thefrequencyof shareholder votes on named executive officer compensation.
