Item 5.02 Departure of Directors or Principal Officers; Election
of Directors; Appointment of Principal Officers

On May 3, 2017, the Board of Directors accepted the resignation
of Barry Hall as Secretary of the Company. Mr. Hall remains
Chairman of the Board of Directors, Chief Executive Officer and
Chief Financial Officer. The Board of Directors of the Company
have appointed Mr. Denis Betsi, a Director and Chief Technology
Officer as Secretary of the Company. Mr. Betsi holds this office
until he resigns, is removed by the Board, or his successor is
elected and qualified.
