Retirement of Chief Legal Officer and Secretary

On January24, 2018, Vincent D. Carson, Chief Legal Officer and Secretary of Helen of Troy Limited (the “Company”) notified the Company of his intention to retire from the Company effective August22, 2018, which is the expected date of the Company’s annual meeting of its shareholders. As part of the Company’s management succession planning efforts, Tessa Judge will assume an expanded role leading the Company’s legal department.
