Retirement of Principal Accounting Officer

On August14, 2017, Richard J. Oppenheim notified Helen of Troy Limited (the “Company”) that he would be stepping down from his role as the Principal Accounting Officer, effective immediately. Mr.Oppenheim intends to retire from the Company effective as of November15, 2017. Effectively immediately, Mr.Brian L. Grass, the Company’s Chief Financial Officer, will assume the role of the Company’s Principal Accounting Officer in addition to his current responsibilities.
