Item5.07. Submission of Matters to a Vote of Security Holders.

On May25, 2017, HealthStream, Inc. (the Company) held its annual
meeting of shareholders (the Annual Meeting). The final results
of the proposals submitted to shareholder vote at the Annual
Meeting, which proposals were described in more detail in the
Companys Proxy Statement filed with the Securities and Exchange
Commission on April12, 2017 (the Proxy Statement), are set forth
below.

(1)Election of three directors in Class II for a term of three
years and until their successors are duly elected and qualified:
