(b)On January 7, 2019, Craig Conway submitted his resignation as a member of the Board of Directors (the “Board”) of Guidewire Software, Inc. (the “Company”) and the Board’s audit committee, effective January 7, 2019. Andrew William Fraser Brown, a current member of the Board, has taken over Mr. Conway’s duties as a member of the Board’s audit committee. The Company thanks Mr. Conway for his years of meritorious service as a member of the Board.
