Item 8.01 – Other Events.

On May3, 2018, the Goldman Sachs BDC, Inc. (the “Company”) issued a press release announcing that it has filed a preliminary proxy statement containing a unanimous recommendation by its board of directors to approve a proposal that would permit the Company to reduce the asset coverage requirements applicable to the Company under the Investment Company Act of 1940, as amended, from 200% to 150%. If the proposal is approved, the Company’s investment advisor, Goldman Sachs Asset Management, L.P. (“GSAM”), and the Company will reduce the base management fee payable to GSAM from 1.5% of average gross assets to 1.0% of average gross assets beginning immediately upon receipt of stockholder approval.
