On April 25, 2019, the Board of Directors (the Board) of Global Payments Inc. (the Company), to the recommendation of the Boards Governance and Nominating Committee, approved the Companys Fifth Amended and Restated Non-Employee Director Compensation Plan (the Plan) to change the compensation for the Companys non-employee directors as follows:

A copy of the Plan, effective April 25, 2019, is attached hereto as Exhibit 10.1 and incorporated by reference herein.

Item 5.07. Submission of Matters to a Vote of Security Holders.

On April 25, 2019, the Company held its 2019 Annual Meeting of Shareholders. The Companys shareholders voted on and approved all three proposals, each of which is described in more detail in the Companys definitive proxy statement filed with the Securities and Exchange Commission on March 13, 2019. The final voting results were as follows:
