On December4, 2017, Genesis Energy, L.P. (“Genesis”) issued a press release announcing the commencement of a cash tender offer for any and all of the $350,000,000 aggregate principal amount outstanding of the 5.750% senior notes due 2021 issued by Genesis and Genesis Energy Finance Corporation, as co-issuer. The tender offer is subject to the terms and conditions set forth in the Offer to Purchase, dated December4, 2017, and the related Letter of Transmittal and Notice of Guaranteed Delivery. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
