On May 17, 2017, General Electric Company (the Company) closed
its previously announced public offering (the Offering) of
1,750,000,000 aggregate principal amount of 0.375% Notes due 2022
(the 2022 Notes), 2,000,000,000 aggregate principal amount of
0.875% Notes due 2025 (the 2025 Notes), 2,250,000,000 aggregate
principal amount of 1.500% Notes due 2029 (the 2029 Notes) and
2,000,000,000 aggregate principal amount of 2.125% Notes due 2037
(the 2037 Notes and together with the 2022 Notes, the 2025 Notes
and the 2037 Notes, the Notes). In connection with the closing of
the Offering, the Company entered into a paying agency agreement
with The Bank of New York Mellon, London Branch, as paying agent.

The Notes were issued to a senior note indenture, dated as of
October 9, 2012 (the Base Indenture), as supplemented by the
officers certificate of the Company, dated as of May 17, 2017
(the Officers Certificate and together with the Base Indenture,
the Indenture), by and between the Company and The Bank of New
York Mellon, as trustee.

The Notes have been registered under the Securities Act of 1933,
as amended, by a registration statement on Form S-3 (File No.
333-209821), including a base prospectus (the Registration
Statement), filed with the Securities and Exchange Commission
(the SEC) on February 29, 2016, as supplemented by a preliminary
prospectus supplement, filed with the SEC on May 10, 2017, and a
final prospectus supplement, filed with the SEC on May 12, 2017.
