Completion of Acquisition or Disposition of Assets.

On December 29, 2017, Fuse Medical, Inc. (the “Company”) completed the previously-announced acquisition of CPM Medical Consultants, LLC (the “Target”), to that certain Purchase Agreement (the “Purchase Agreement”), by and between the Company and NC 143 Family Holdings, LP (“NC 143”), dated December 15, 2017, whereby the Company would purchase all of the outstanding membership interests of the Target, as disclosed in the Company’s Form 8-K filed on December 19, 2017. The Company issued 50,000,000 shares of its common stock, par value $0.01 per share (“Common Stock”) in exchange for 50% of the outstanding equity interests of the Target, at an agreed-upon value of $0.20 per share of Common Stock, as reflected in the fairness opinion provided by ValueScope, Inc. and filed as Exhibit 99.1 to the Company’s Current Report on Form 8-K, filed with the Commission on December 19, 2017. The effective date of the closing was December 31, 2017.

On January 5, 2018, the Company issued a press release, attached hereto as Exhibit 99.2, announcing the Company’s completion of the acquisition of the Target to the Purchase Agreement.
