On May2, 2018, Five9, Inc. (the “Company”) issued a press release announcing the Company’s intention to offer, subject to market conditions and other factors, $200 million aggregate principal amount of its Convertible Senior Notes due 2023 (the “Notes”) in a private placement to qualified institutional buyers to Rule 144A under the Securities Act of 1933. A copy of the press release is filed as Exhibit 99.1 hereto and is incorporated herein by reference.

On May3, 2018, the Company issued a press release announcing that it had priced the offering of $225 million aggregate principal amount of the Notes. The size of the offering was increased from the previously announced $200 million. A copy of the press release is filed as Exhibit 99.2 hereto and is incorporated herein by reference.
