On October 23, 2018, First Mid-Illinois Bancshares, Inc. (the “Company”) entered into a First Amendment (the “Amendment”) to its Fifth Amended and Restated Credit Agreement, dated as of April 13, 2018, with The Northern Trust Company evidencing a $15 million term loan and a $10 million revolving loan. to the Amendment, The Northern Trust Company consented to certain matters related to the Company’s pending acquisition via merger of SCB Bancorp, Inc., an Illinois corporation (“SCB”). A copy of the Amendment is attached hereto as Exhibit 10.1 and incorporated into this Item 1.01 by reference.
