Item 8.01 Other Events.

On May25, 2017, First Busey Corporation (the Company) completed
an underwritten public offering of $40.0 million aggregate
principal amount of its 3.75% Senior Notes due 2022 and
$60.0million aggregate principal amount of its Fixed-to-Floating
Rate Subordinated Notes due 2027 (theNotes). The Company issued
the Notes in a public offering to the Companys Registration
Statement on FormS-3 (File No.333-199442) and a prospectus
supplement dated May18, 2017 (the Prospectus Supplement). The
Notes were issued to an Indenture, dated as of May25, 2017,
between the Company and U.S. Bank National Association, as
trustee (the Trustee), as supplemented by a First Supplemental
Indenture and a Second Supplemental Indenture between the Company
and the Trustee, each dated as of May25, 2017 (the Supplemental
Indentures).

The terms of the Indenture, the Supplemental Indentures and the
Notes are further described in the Prospectus Supplement under
the heading Description of the Notes and in the related base
prospectus dated October29, 2014 that accompanies the Prospectus
Supplement, under the heading Description of Debt Securities,
