Other Events

On February21, 2017, FBR Co. (the Company) and B. Riley
Financial, Inc. (B. Riley) issued a joint press release
announcing the execution of an Agreement and Plan of Merger,
dated as of February17, 2017, by and between the Company and
B.Riley, to which the Company will merge with and into B. Riley
(or a subsidiary of B. Riley), with B. Riley (or its subsidiary)
as the surviving corporation. A copy of the press release is
attached hereto as Exhibit 99.1 and is incorporated herein by
reference. In addition, the Company and B. Riley intend to make
available to investors the slides attached hereto as Exhibit
99.2, which are incorporated herein by reference.

The pulp produced by Fibria is exported to approximately 40 countries. The pulp produced for export is delivered to customers by sea and through various ports.
