ITEM 8.01 OTHER EVENTS
In anticipation of the reorganization as a closed ended fund, the
Issuer has taken the following actions:
(a) On June 5th, 2017, the holders of a majority of the common
stock of the Issuer approved an amendment to the Issuers
certificate of incorporation to change the name of the Issuer to
Evergreen-Agra Global Investment Fund, Inc. the Issuer is in the
process of filing an amendment.
(b) On June 5th, 2017, the holders of a majority of the common
stock of the Issuer approved a domicile change from Nevada to
Delaware, the Issuer is in the process of this transition.
(c) As a result of the foregoing, the Issuer will be applying for
a new CUSIP number through is transfer agent, Securities Transfer
Corporation.
(d) The Issuer is proceeding to file an Issuer Company-Related
Action form with FINRA which will inform FINRA of the name change
which will become effective upon receipt of approval from FINRA.
